PH - What are the legal documents required to register to Xendit for Philippine Merchants?

The documents which are required to register in Xendit will be different depending on your business type. When you want to activate your account through the dashboard you will need to upload your legal documents.

For a guideline, the following is the required documentation based on the business entity.

Please note that depending on your business industry, secondary licenses may be asked in addition to the below requirements.

REQUIREMENT LIST: 

A. For Individual Business Entity:

  1. 1 Primary ID or 2 Secondary IDs (Government Issued)*
  2. Tax Identification Number
  3. Promotional Material/Online store (e.g website, social media)

 

B. For Sole Proprietorship Entity:

  1. 1 Primary ID or 2 Secondary IDs (Government Issued)*
  2. Tax Identification Number
  3. Promotional Material/Online store (e.g website, social media)
  4. DTI Registration Document
  5. BIR 2303

C. For Partnership Entity:

  1. 1 Primary ID or 2 Secondary IDs (Government Issued)*
  2. Tax Identification Number
  3. Promotional Material/Online store (e.g website, social media)
  4. SEC Registration Certificate
  5. Notarized Partner's Certificate
  6. Articles of Partnership
  7. BIR 2303


D. For Corporation Entity:

  1. 1 Primary ID or 2 Secondary IDs (Government Issued)*

  2. Tax Identification Number

  3. Promotional Material/Online store (e.g website, social media)

  4. SEC Registration Certificate

  5. Notarized Secretary's Certificate

  6. Articles of Incorporation

  7. Most Recent General Information Sheet (GIS)

  8. BIR 2303

E. Non-Stock Corporation (NGO, NPO, Foundation)

  1. SEC Registration Certificate

  2. Articles of Incorporation

  3. Either one of the following:a. Income Tax Return
    b. Latest Audited Financial Statements
    c. Philippine Council for NGO Certification
    d. SEC Mandatory Disclosure Form

  4. One (1) primary ID or Two (2) secondary ID of the authorized representative, President, Treasurer

  5. Optional: Latest General Information Sheet, BIR 2303, Notarized Secretary’s Certificate


F. For Foreign Business Operating in the Philippines
NOTE: Only Business Entity is allowed to be onboarded as Foreign Business in the Philippines

F.1. Non-SEC-Registered Foreign Business

  1. Business Registration Number
  2. Business Tax ID card Number
  3. Promotional Material/Online store (e.g. website, social media)
  4. Proof of registration in the country of incorporation
  5. Passport/Alien Certificate of Registration of Authorized Signatory
  6. Memorandum of Association or Constitution
  7. A document that certifies that the authorized signatory has been authorized by the corporation to open an account with Xendit
  8. A document that lists current directors, officers, stockholders, and ultimate beneficial owners
  9. Other business-specific licenses
 (Will be asked depending on your business i.e if you create and sell your own beauty products, you will need to have a specific license from the government)

 

F.2 SEC-Registered Foreign Business

  1. Business Registration Number
  2. Business Tax ID card Number
  3. Promotional Material/Online store (e.g. website, social media)
  4. Business License Document
  5. Passport or Alien Certificate of Registration of Authorized Signatory
  6. SEC Registration Certificate
  7. BIR 2303
  8. Notarized Secretary’s Certificate
  9. Articles of Incorporation
  10. Most Recent General Information Sheet (GIS)

  11. Other business-specific licenses ((Will be asked depending on your business i.e if you create and sell your own beauty products, you will need to have a specific license from the government)

Primary IDs/Secondary IDs:

  1. The full name on the ID Card should be the same as the authorized person's name and not expire

Tax Identification Number

  1. The name in the TIN should match the individual name/business name/corporation name

Promotional Material/Online Store

  1. Should be live and accessible
  2. Should match the nature of your business industry category
  3. Should have catalogs of products that are available to purchase via checkout flow

Bank book

  1. The name in the bank book should match the individual name/business name/corporation name

DTI Registration Document

  1. The legal business name in the document should match the legal business name in Xendit
  2. The document should be active (not expired)
  3. Should include QR CODE 
  4. Should include Secretary's Signature
  5. Should include a watermark of the DTI logo

SEC Registration Certificate

  1. The legal business name in the document should match the legal business name in Xendit
  2. The document should be active (not expired)
  3. Should include QR CODE
  4. Should include Director's Signature

Notarized Partner's Certificate

  1. At least one Managing Partner's name should match the Authorized Person's name
  2. You may also use this template for guidance

Articles of Partnership

  1. The legal business name in the document should match the legal business name in Xendit

  2. The primary purpose of business should match your selected industry sector in Xendit

  3. Make sure that the document is SEC Received stamp & signed 

  4. Signed by partners on the last page 

  5. Duly notarized

  6. For any amendments, the most recent amendment must be submitted

*Substantially, Article of Partnership & Article of Incorporation are similar docs, see the title for differentiation

Notarized Secretary's Certificate

  1. Corp Sec name should match the Corp Sec name in GIS
  2. The authorized person submitted to Xendit is listed as the authorized person in the certificate
  3. You may use also this template

 

Articles of Incorporation

  1. The legal business name in the document should match the legal business name in Xendit
  2. The primary purpose of business should match your selected industry sector in Xendit
  3. Make sure that the document is SEC Received stamp & signed
  4. Signed by partners on the last page
  5. Duly notarized
  6. For any amendments, the most recent amendment must be submitted

Most Recent General Information Sheet (GIS)

  1. The legal business name in the document should match the legal business name in Xendit

  2. The business address should match the business address in the Articles of Incorporation

  3. Should be 9 pages 

  4. Notarized, signed by Corporate Secretary (Identified on officers page) 

  5. Barcode Page (for authenticated copy) or Physical  Stamp (Received copy)

Requirement Guidelines for Foreign Business Operating in the Philippines

 

A. Non-SEC-Registered Foreign Business

Business Registration Number

  1. The legal business full name in the Business Registration document should match the business name.

Proof of registration in the country of incorporation

  1. Legal business name in the document should match the legal business name in Xendit
  2. Document should be active (not expired)

Passport or Alien Certificate of Registration of Authorized Signatory

  1. The authorized name in the document should match the authorized person's name

  1. Legal business name in the document should match the legal business name in Xendit
  2. Document should be active (not expired)

A document that certifies that the authorized signatory has been authorized by the corporation to open an account with Xendit

  1. The authorized person's name in the document should match the authorized person's name in Xendit
  2. The document should be active (not expired)

*Other countries can use the provided sample as a reference, adjusting it as per local laws where the authorization letter is created

 

A document that lists current directors, officers, stockholders, and ultimate beneficial owners

  1. Legal business name in the document should match the legal business name in Xendit
    The document should be active (not expired)

B. SEC-Registered Foreign Business

Business License Document

1. Legal business name in the document should match the legal business name in Xendit
2. Document should be active (not expired)

Passport or Alien Certificate of Registration of Authorized Signatory

  1. The authorized name in the document should match the authorized person's name

  1. Legal business name in the document should match the legal business name in Xendit
    The document should be active (not expired)

 

A document that certifies that the authorized signatory has been authorized by the corporation to open an account with Xendit

  1. Authorized person's name in the document should match the authorized person's name in Xendit
  2. Document should be active (not expired)

DOCUMENTS THAT CANNOT BE VERIFIED:

  1. Unclear or blurry documents

    Make sure your documents are scanned or photographed with good quality. We cannot activate your account if part of or the entirety of your document cannot be read.

  2. Obscured or censored documents

    Your document must not be obscured or censored in one part or its entirety

  3. Incomplete documents

    Make sure that your document is complete and that all pages of your document are uploaded. We cannot verify documents with missing information or pages.

  4. Documents that are no longer valid

    Please submit a document that is still valid and/or updated. If the document you submitted states a validity date, please ensure that you have not passed that validity date.

     

  5. Documents that do not belong to your business
    Please submit your own legal documents. This means the documents you submitted have matching details with the business that you have.
